The Sustainability and Risk Management Committee is responsible for overseeing sustainable development affairs and risk management activities. Board of Directors<\/p>\n<p>Responsible for approving the &#8221; Organizational Charter of Sustainability and Risk Management Committee&#8221; and \u201cThe Principle of Risk Management Policy and Procedure\u201d, promoting sustainable development affairs and monitoring various risks existing or potential to the company, and making reasonable resource allocation to ensure the effective implementation of the plan.<\/p>\n<p>2. Sustainability and Risk Management Committee<\/p>\n<p>The Sustainability and Risk Management Committee is the organization that comprehensively manages sustainable development affairs and risk management activities. It consists of at least three members, one of whom serves as the convener, and at least more than half of the members are independent directors. The executive secretariat is established therefrom and its responsibilities are as follows:<\/p>\n<ol>\n<li>Review the Company&#8217;s sustainability policy.<\/li>\n<li>Review the Company&#8217;s risk management policy.<\/li>\n<li>Monitor the Company&#8217;s sustainability planning, promotion, and implementation.<\/li>\n<li>Monitor the Company&#8217;s risk management planning, promotion, and implementation.<\/li>\n<\/ol>\n<p>3. Executive Secretariat<\/p>\n<p>Executive Secretariat is responsible for the implementation, promotion and coordination of the Company\u2019s sustainability projects and risk management activities, including convening meetings of the Sustainability and Risk Management Committee, assisting the Committee in formulating relevant policies and procedures, communicating sustainability and risk trends with various operating units, and collecting and integrating sustainability and risk management reports from various operating units.<\/p>\n<p>4. Each Operating Unit<\/p>\n<p>Each operating unit is responsible for implementation of the sustainability and risk plans of such unit, including sustainable performance improvement, risk identification, risk analysis, risk assessment, risk response and control, and self-supervision. Each operating unit shall report the progress of sustainability projects and the implementation status of risk management for various risks to the Committee on a regular basis or when required by the
